OUR UNDERSTANDING OF YOUR REQUIREMENTS
Your Role:
Our experience demonstrates that the most successful management and venture capital assignments are those in which we work closely together and partner with our clients. Accordingly, we would like to indicate the unique contribution that you make to the process. While we seek to identify and recommend qualified companies for your consideration, you and your colleagues will decide whom to support with funds or expertise. There are several additional responsibilities that you should undertake to ensure that the best companies are made available to you. These include:
1. To indicate clearly those relevant areas that you wish to keep confidential, and we will make every effort to do so.
2. To provide timely feedback regarding the specifications and the background information provided to you on companies.
3. To allow us to schedule interviews promptly with companies, and to report your findings as soon as possible after the interviews.
4. To provide information regarding companies we provide to you, that you may have found from other sources or from within your organization, so that the additional information may be evaluated as a part of the search.
5. To assist in providing the appropriate information to companies about yourself and your abilities, that would enable them to make their decisions.
6. To be available to discuss progress, the challenges in the marketplace and the steps we can both take to improve the process, should that be required.
7. We request you do not advertise or use other methods while we are working on this assignment without discussing with us first. More than one approach to the marketplace may compromise your confidentiality and competitive standing.
CONFIDENTIALITY, CIRCUMVENTION, COMPETITION
In view of the increasing complexity of many of our clients and our relationships, and the multifaceted relationships that result, candidates will not divulge client confidences for a specified period of time. As a result of this engagement, confidentiality will be for the duration of our agreement, and a minimum period of 12 months following the date this agreement terminates, unless an exception applies. Candidates affirm that they are not currently in conflict of interest with any other client relationships. Candidates will not circumvent any trusts or understandings they may have with us, or our client companies, by contacting any directors, officers, employees, vendors, partners, associates, clients, or competitors, of our client companies, for any purpose, without our prior approval. Candidates will not compete, either directly or indirectly, with our client companies, or their business, in any way, unless an exception is authorized.
PROFESSIONAL FEES AND EXPENSES
Consistent with the standards of our profession, we do not charge candidates for our services. Our fees are all company paid.
Your acceptance of a board or senior management positions from companies we present to you shall be conclusive evidence of your acceptance of our terms and conditions, unless we have authorized an exception.
Companies are referred to you in confidence. Should you begin or continue negotiations without our assistance, or refer or identify the company to another individual, who then enters into a relationship with the company, you shall be responsible for the payment any of our lost revenues that may have occurred.
CLIENT SATISFACTION
Our firm guarantees that every effort has been made to identify legitimate companies that will provide a return on investment for you. Our due diligence includes history and background of the individuals and companies involved, including our determination of plan and direction. Your due diligence should include the same research, in conjunction with any advisors and associates of your choosing.
Either party may discontinue this assignment by written notification at any time.
MARKETING
To help protect client confidentiality, we do not use internet sites or listings. Most of our clients do not want information or knowledge of any information released to the public, competitors, shareholders, and employees, without prior client approval. We rely upon our extensive knowledge base, professional contacts, and networks to obtain results in a confidential manner.
